The MLB Opening Day Sweepstakes Presented by Conoco® Official Rules.

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. ODDS OF WINNING WILL DEPEND ON THE TOTAL NUMBER OF ENTRIES RECEIVED. VOID WHERE PROHIBITED BY LAW. ALL DISPUTES WILL BE RESOLVED SOLELY BY BINDING ARBITRATION AND ENTRANTS WAIVE THE ABILITY TO BRING CLAIMS IN A CLASS ACTION FORMAT.

ELIGIBILITY: The MLB Opening Day Presented by Conoco Sweepstakes ("Sweepstakes") is open to legal residents of Arkansas, Arizona, California, Colorado, Iowa, Idaho, Illinois, Indiana, Kansas, Missouri, Montana, Nebraska, New Mexico, Nevada, Oklahoma, Oregon, South Dakota, Tennessee, Texas, Washington, Wisconsin, and Wyoming, who are eighteen (18) years of age or older (NE residents must be 19 years of age or older) as of 9/8/14. An entrant may only register and enter under one name with one email or mailing address. Any entrant who attempts to enter with multiple email or mailing addresses, under multiple identities or uses any device or artifice to register multiple times will be disqualified and will forfeit any and all prizes won, at Sponsor's discretion. Employees, officers and directors of MLB Advanced Media, L.P. ("MLBAM," "MLB.com" or "Sponsor"), the other MLB Entities (as defined below), Phillips 66 Company, teamDigital Promotions, Inc. ("Administrator"), and each of their respective parent companies, subsidiaries, affiliates, governors, related entities, partners, partnerships, principals, licensees, sponsors, and advertising/promotion agencies and of all their respective officers, directors, employees, agents, representatives, successors and assigns (collectively, "Released Parties"), and the immediate family members (parent, spouse, sibling, or child, and their respective spouses, regardless of where they reside) and those living in the same household of each such employee, officer or director (whether or not related) are not eligible to participate or win. Groups, clubs or organizations are not permitted to participate in this Sweepstakes or distribute any portion of these Official Rules. The "MLB Entities" shall mean MLBAM, the Office of the Commissioner of Baseball ("BOC"), its Bureaus, Committees, Subcommittees and Councils, Major League Baseball Enterprises, Inc., Major League Baseball Properties, Inc., the Major League Baseball Clubs ("Clubs"), each of their parent, subsidiary, affiliated and related entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Clubs or the BOC and the owners, general and limited partners, shareholders, directors, officers, employees and agents of the foregoing entities. This Sweepstakes is subject to all applicable federal, state and local laws, rules and regulations. Void outside of the states listed above and where prohibited or restricted by law, rule or regulation.

HOW TO PARTICIPATE: There are two (2) ways to enter: online or by mail. No other method of entry will be accepted. Between 12:00:01 PM Eastern Time ("ET") on 9/8/14 and 11:59:59 PM ET on 9/30/14 ("Promotion Period"): 1) Visit www.MLB.com/conoco, click on the applicable Sweepstakes banners, buttons and/or links to access the online Sweepstakes entry form. Follow the instructions provided to fully complete and submit your online entry to enter in the Sweepstakes. Administrator's computer is the official time-keeping device for this Sweepstakes. Online entries must be received by 11:59:59 PM ET on 9/30/14 to be eligible; or 2) Alternate Free Method of Entry: To enter by mail, hand-print your full name, complete mailing address, telephone number (including area code), and date of birth on a plain 3"x 5" piece of paper and mail it in a sealed #10 envelope with proper postage affixed to: The MLB Opening Day Sweepstakes Presented by Conoco, P.O. Box 15083, Bridgeport, CT 06673-5083. Each mail-in entry must be mailed separately, postmarked by no later than 10/1/14 and received by no later than 10/7/14 to be eligible. LIMIT: One (1) Grand Prize Drawing entry per person and per email address per day regardless of method of entry for a maximum of thirty-four (34) Grand Prize Drawing entries throughout the Promotion Period (excluding the one (1) bonus entry that may be received by following the instructions below).

BONUS ENTRIES: There are two (2) ways to earn one (1) Bonus Entry: online or by mail. 1) Online: You will have the opportunity to earn one (1) bonus entry for the Grand Prize Drawing when you follow the instructions on the Thank You page in accordance with the instructions provided; or 2) Mail: To receive one (1) Bonus Entry via mail in the Grand Prize Drawing, hand write your first and last name, street address, city, state, zip, daytime telephone number (area codes included), email address, and date of birth on a plain 3" x 5" piece of paper, and mail entry in a properly stamped #10 envelope to: The MLB Opening Day Sweepstakes Presented by Conoco, P.O. Box P.O. Box 15083, Bridgeport, CT 06673-5083. All mail-in Bonus Entries postmarked by no later than 10/1/14 and received by no later than 10/7/14 to be eligible. BONUS ENTRY LIMIT: Limit one (1) bonus entry for the Grand Prize Drawing per person and per email address (regardless of entry method) for the duration of the Promotion Period. No photocopied, computer generated facsimiles, mechanically reproduced, or mass entries are permitted and all such entries will be void. All information submitted online by entrants is subject to MLB.com's Terms of Use accessible at: http://mlb.mlb.com/mlb/official_info/about_mlb_com/terms_of_use.jsp and Privacy Policy accessible at: www.mlb.com/privacy. Entrants must fully complete and submit all non-optional data requested on the online entry form to be eligible. Incomplete entries are void. Online entrants to the Sweepstakes will be given the option to receive (a) commercial e-mails from MLB.com, the MLB Clubs and/or Phillips 66 Company, and/or (b) mobile text messages and updates from MLB.com and/or the MLB Clubs; however, eligibility to participate in the Sweepstakes is not dependent upon entrant's consent to receive such e-mails and/or mobile text messages and updates and consenting to receive such e-mails and/or mobile text messages and updates does not impact entrant's chances of winning. By entering this Sweepstakes, each entrant gives his/her express permission to be contacted by the Administrator and/or MLBAM by telephone, e-mail and/or postal mail for Sweepstakes purposes only. Released Parties are not responsible for lost, incomplete, illegible, late, damaged, inaccurate, misdirected, stolen, garbled, mutilated, undelivered or postage-due entries, mail or e-mail, failures or malfunctions of phones, phone lines or telephone systems, wireless towers or cellular tower equipment; lost entries, transmissions; any error, omission, interruption, defect or delay in wireless or other transmission, transaction processing, or communication; interrupted or unavailable network, cable, satellite, Internet Service Provider (ISP), wireless network, server or other connections including those through and/or by any website; miscommunications, failed computer hardware or software or technical failures; non-delivery; misdirected, blocked, or delayed e-mail notifications; garbled, misrouted or scrambled transmissions; printing, typographical or other errors appearing within these Official Rules, in any Sweepstakes-related advertisements or other materials; or other errors or problems of any kind whether mechanical, human, telephone, electronic, network, mail or otherwise relating to or in connection with the Sweepstakes, including, without limitation, the cancellation or postponement of any game, event or exhibition, errors or problems which may occur in connection with the administration of the Sweepstakes, the processing of entries, mail or e-mail and/or the announcement of the prize. Administrator and MLBAM reserve the right, in their sole discretion, to void any and all entries of an entrant who Administrator or MLBAM believe has attempted to tamper with or impair the administration, security, fairness or proper play of this Sweepstakes or who is otherwise not in compliance with these Official Rules. The use of automated entry or similar devices to participate or subvert the entry process is prohibited and all entries through such devices are void. In the event of a dispute as to the identity of any entrant, such entrant will be deemed, as applicable, the person named on the applicable 3"x 5" mail entry or, for the online entry method (#1 above), the "authorized account holder" of the e-mail address submitted at the time of entry provided he/she is eligible according to these Official Rules. "Authorized account holder" is defined as the natural person who is assigned to the e-mail address by an Internet access provider, online service provider or other organization (e.g., a business, educational institution, etc.) which is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Proof (to Administrator's satisfaction) of being the authorized account holder may be required by Administrator.

WINNER SELECTION: Potential winner will be selected in a random drawing from among all eligible entries received during the Promotion Period on/about 10/14/14 by Administrator, an independent judging organization. The first randomly selected potential winner that answers a telephone call placed by Administrator notifying him/her of his/her potential winning status and who agrees to accept the prize will be declared the official Grand Prize winner, subject to verification of eligibility and the terms of these Official Rules ("Grand Prize Winner"). Messages will not be left on answering machines or with live persons and if an individual declines prize or is not available for any reason when called, his/her prize opportunity will be forfeited and, at Administrator's discretion, an alternate potential winner will be selected. The decisions of MLBAM and/or Administrator, as applicable, will be final and binding on all matters relating to this Sweepstakes. Odds of winning will depend on the total number of eligible entries received.

GRAND PRIZE: Grand Prize: A prize package consisting of the following: 1) A 2-day/1-night trip for the Grand Prize Winner and one (1) guest to attend the 2015 MLB Opening Day of winner's choice consisting of round-trip coach class air transportation from a major U.S. gateway airport nearest to Grand Prize Winner's residence in the U.S. to a major U.S. gateway airport near game location; standard double-occupancy hotel accommodations (one (1) room), up to two (2) tickets for the Grand Prize Winner and guest to attend the game, ground transportation to/from airport and hotel; and 2) Conoco gasoline for one (1) year for the Grand Prize Winner awarded in the form of Conoco Gas Cards valuing $2,600 in total and redeemable at Phillips 66®, Conoco, and 76® stations (the gas card portion of the prize calculated based on $50 per week for gas). Total Approximate Retail Value of Prize Package=$4,630. Actual value of Grand Prize will vary depending on Grand Prize Winner's city of departure. Tickets are subject to certain terms and conditions specified thereon. Seat locations at games awarded as part of the Grand Prize shall be determined in the sole and absolute discretion of Administrator and/or MLBAM, as applicable. Administrator, in its sole discretion, reserves the right to provide ground transportation in lieu of air transportation if winner resides within one-hundred (100) miles of chosen game (and no additional compensation or substitution will be awarded for difference in prize value). Trip must be taken on dates specified by Administrator or prize will be forfeited and, at Administrator's discretion and time permitting, an alternate potential winner may be randomly selected from among all remaining eligible entries received for the Grand Prize drawing. If any game or any other prize-related activity(s) is canceled or postponed for any reason, travel prize will be awarded less attendance to the applicable game, exhibition or event and Administrator will substitute that activity(s) with an item(s)/activity(s) of approximately comparable or greater value as determined solely by Administrator. Travel and hotel accommodation restrictions apply. Travel and hotel arrangements must be made through Administrator's agent and on a carrier and at a hotel of Administrator's choice. Grand Prize Winner and his/her guest(s) are responsible for obtaining all required travel documents prior to travel. Grand Prize Winner and his/her guest(s) must travel together on the same itinerary. The Grand Prize Winner's guest(s) must be of legal age of majority in his/her state of residence (and at least eighteen (18) years of age) unless child or legal ward of winner. All prize details are at Administrator's sole discretion. Major League Baseball game, event and exhibition dates and times are determined in the sole discretion of the BOC and/or the applicable Club, as applicable, and may be subject to change. Grand Prize Winner and his/her guest(s) agree to comply with all applicable ballpark rules and regulations relating to the use of Major League Baseball game, event and/or exhibition tickets and, in accordance therewith, agree not to act in an unsportsmanlike or disruptive manner, or with any intent to annoy, abuse, threaten or harass any other person at such game, event or exhibition. Administrator and the applicable MLB Entities reserve the right to remove or to deny entry to Grand Prize Winner and/or any guest(s) who acts(s) in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person at the game. The Released Parties will not be responsible for weather conditions, Acts of God, acts of terrorism, civil disturbances, work stoppage or any other natural or man-made disaster outside their control that may cause the cancellation or postponement of any Major League Baseball game, event or exhibition. Major League Baseball game, event and exhibition tickets awarded as part of the Grand Prize may not be resold or offered for resale. Any such resale may result in disqualification and prize forfeiture, and may invalidate the license granted by the game ticket(s). Certain travel restrictions may apply. Gas card is subject to certain terms, conditions and restrictions as specified by issuer. See gas card for details.

MISCELLANEOUS: No transfer, assignment, cash redemption, or substitution of prize (or any portion thereof) permitted except by MLBAM and Administrator who may substitute the prize (or any portion thereof) with a prize of comparable or greater value at their sole and absolute discretion. Winner is responsible for all income, federal, state and local taxes as well as any other costs or expenses associated with prize acceptance and use not specified herein as being provided, including, but not limited to, all transportation, lodging, meals, gratuities and souvenirs in connection with the Grand Prize. Potential winner will be required to execute and return an Affidavit of Eligibility, Liability Release and (where legal) Publicity Release and W-9 Form within two (2) days of date of issuance of notification. Grand Prize Winner's guest(s) must be of legal age of majority in his/her jurisdiction of residence (and at least 18) unless child or legal ward of winner. Non-compliance with any of the foregoing or these Official Rules, the inability to contact the potential winner within a reasonable time period, failure to return such documents within the specified time period, or the return of the prize or prize notification as undeliverable may result in disqualification and, time permitting, awarding of prize to an alternate winner, at Administrator's sole discretion, from among all remaining eligible entries. By participating, each entrant agrees to be bound by these Official Rules and agree that (1) MLBAM , Phillips 66 Company and each of their designees shall have the right and permission to use (unless prohibited by law) entrant's name, voice, address (city and state of residence), photograph and/or other likeness for advertising, promotional and/or trade and/or any other purpose in any and all media or format now known or hereafter devised throughout the world, in perpetuity, without limitation and without further compensation, consideration, permission or notification to entrants or any third parties; and (2) Released Parties, Phillips 66 Company, and each of their respective designees and assigns shall have no liability and will be held harmless for any liability, loss, injury or damage, including, without limitation, personal injury, death or damage to personal or real property, to entrant or any other person or entity due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of any prize (including any travel or activity related thereto) and/or participation in this Sweepstakes. The Released Parties (i) make no warranty, guaranty or representation of any kind concerning the prizes and (ii) disclaim any implied warranty. Administrator and/or MLBAM, as applicable, reserve the right, in their sole discretion, to modify, terminate or suspend this Sweepstakes (or any portion thereof) should virus, bugs, unauthorized human intervention or other causes corrupt or impair the administration, security, fairness or proper play of the Sweepstakes (or any portion thereof) and, in the event of termination, at its discretion, select winner from those eligible, non-suspect entries received prior to event requiring such termination. Administrator and/or MLBAM, as applicable, reserve the right, in their sole discretion, to disqualify any person and void all associated entries of any person who they believe has tampered with the entry process, or any other component of this Sweepstakes, whose conduct or actions affect the administration, integrity, security, fairness or proper conduct of this Sweepstakes, or who is in violation of these Official Rules. All entry data provided via the online entry form is provided to MLBAM and not to Facebook. This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with, Facebook. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS SWEEPSTAKES IN ANY WAY, OR UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THIS SWEEPSTAKES, MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, ADMINISTRATOR, MLBAM AND/OR THEIR RESPECTIVE AGENTS WILL DISQUALIFY ANY SUCH ENTRANT AND RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS' FEES) AND/OR OTHER REMEDIES FROM ANY SUCH PERSON OR PERSONS RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMISSIBLE BY LAW.

ARBITRATION: Except where prohibited by law, as a condition of participating in this Sweepstakes, participant agrees that (1) any and all disputes and causes of action arising out of or connected with this Sweepstakes, or prize awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held in New York County, New York; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorneys' fees, other than participant's actual out-of-pocket expenses (i.e., costs associated with participating in this Sweepstakes), and participant further waives all rights to have damages multiplied or increased.

CHOICE OF LAW: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of participant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the substantive laws of the State of New York, USA.
